Dubai Trade Training Terms And Conditions
1- INTRODUCTION
1-1 These Training Terms and Conditions (the "Terms and Conditions") apply to all training courses (whether free or paid) provided by Dubai Trade FZE ("Dubai Trade"), including classroom training courses, seminars, and online training and seminars ("Training Courses").
1-2 By registering for a Training Course, you agree to be bound by these Terms and Conditions. We may amend these Terms and Conditions at any time without notice. If you do not agree to the Terms and Conditions (including any amendments), then you should immediately discontinue the registration process and not attend any Training Course.
2- REGISTRATION AND FEES
2-1 To view the upcoming Training Course schedule and associated fees, please visit http://www.dubaitrade.ae/training .The fees are exclusive of VAT and other applicable taxes, government fees and other similar charges (‘Taxes’) whether it is applicable at the time being or in the future. You will be solely responsible for payment of any chargeable VAT and other Taxes and shall, pay any additional amounts in respect of VAT and other Taxes as are chargeable.
2-2 Before registering, please read the Training Course program, to ensure that the Training Course will meet your training needs.
2-3 For paid Training Courses, registration is confirmed only upon receipt by Dubai Trade of full payment of the Training Course fee, which payment must be made at least 2 days prior to the start date of the Training Course. For free Training Courses, registration is confirmed upon receipt by Dubai Trade of your booking form.
2-4 Dubai Trade reserves the right to alter published programs, trainers, fees or venues at its sole discretion and without prior notice.

5- RE-EXAMINATION
If the candidate want to re avail any of the certified courses exam, a charge of AED 315 exclusive of VAT is applicable, and to be collected prior to the exam date.
6- DISCLAIMER
To the fullest extent permitted by applicable law, Dubai trade shall not be liable for any acts or omissions resulting from information or views expressed in the training courses, including the training materials. Candidates should take professional advice when dealing with specific situations.
7- INTELLECTUAL PROPERTY RIGHTS
6-1 You acknowledge that all Intellectual Property Rights in, and relating to, the training materials, including printed materials and online documentation (Training Materials, belongs to Dubai Trade. You have no rights in, or to, the Training Materials other than the right to use them in accordance with these Terms and Conditions. You acknowledge that your use or reproduction of the training materials other than strictly in accordance with these terms and conditions (or as otherwise permitted by law) is an actionable infringement of Dubai Trade rights, and Dubai Trade will not hesitate to enforce its rights against you in appropriate circumstances.
6-2 For the purposes of this clause 6, "Intellectual Property Rights" means all copyright, patents, trademarks, rights in databases, inventions or trade secrets, know-how, rights in designs, topographies, trade and business names, domain names, and all other intellectual property rights, whether registered or unregistered, and whether or not capable of registration.
8- CANDIDATE UNDERTAKINGS
7-1 You undertake not to:
(a) copy the Training Materials except where such copying is incidental or necessary for the purposes of completing the Training Course;
(b) rent, lease, sub-license, loan, translate, or adapt the Training Materials;
(c) alter, or modify, the whole or any part of the Training Materials, nor permit the Training Materials or any part of them to be combined with, or become incorporated into, any other materials;
(d) provide or otherwise make available the Training Materials in whole or in part, in any form to any person without prior written consent from Dubai Trade; and
(e) use the Training Materials and/or the format of the Training Course or make the same available to others to use, whether free or paid, as part of any other training program offered other than with the written permission of Dubai Trade.
9- CONFIDENTIALITY
A party (receiving party) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the receiving party by the other party (disclosing party), its employees, agents or subcontractors, and any other confidential information concerning the disclosing party's business, its products and services which the receiving party may obtain. The receiving party shall only disclose such confidential information to those of its employees, agents and subcontractors who need to know it for the purpose of discharging the receiving party's obligations under the Terms and Conditions, and shall ensure that such employees, agents and subcontractors comply with the obligations set out in this clause as though they were a party to the Terms and Conditions. The receiving party may also disclose such of the disclosing party's confidential information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction. This clause 8 shall survive termination of the Terms and Conditions.
10- LIMITATION OF LIABILITY
9-1 In no event shall Dubai Trade be liable (whether for breach of contract, negligence or for any other reason) for any loss of profits, exemplary or special damages, loss of sales, loss of revenue, loss of goodwill, loss of any software or data, loss of bargain, loss of opportunity, loss of use of computer equipment, software or data, loss of or waste of management or other staff time, or for any indirect, consequential, punitive or special loss, however arising.
9-2 Subject to clause 9-1, our maximum aggregate liability to you in connection with the Training Courses and/or these Terms and Conditions whether in contract, tort, negligence or otherwise is limited to the amount actually paid by you to Dubai Trade for the specific Training Course giving rise to the claim.
9-3 These terms set out the full extent of Dubai Tradeӳ obligations and liabilities in respect of the supply of the Training Courses and Training Materials. In particular, there are no conditions, warranties, representations or other terms, express or implied, that are binding on Dubai Trade except as specifically stated in these Terms and Conditions.
9-4 You will indemnify, defend and hold harmless Dubai Trade, at your expense, against any third party claim, suit, action, or proceeding brought against Dubai Trade (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party arising out of or relating to your non-compliance with or breach of these Terms and Conditions.
11- TERMINATION
Dubai Trade reserves the right to cancel / reschedule the Training Courses. Dubai Trade will notify registered candidates of any cancellation or change in schedule by contacting them at the email address provided at the time of registration. If Dubai Trade cancels a Training Course, you will receive a full refund; however, in addition to the limits set out in clause 9-1, Dubai Trade shall not be liable for any additional costs incurred by you.
12- FORCE MAJEURE
11-1 Dubai Trade shall not be liable to you as a result of any delay or failure to perform its obligations under these Terms and Conditions as a result of a Force Majeure Event. If the Force Majeure Event prevents Dubai Trade from providing the Training Courses for more than six months, Dubai Trade shall, without limiting its other rights or remedies, have the right to terminate these Terms and Conditions immediately by giving written notice to you.
11-2 For the purposes of these Terms and Conditions, a Ԇorce Majeure EventԠmeans an event beyond the reasonable control of Dubai Trade including but not limited to strikes, lock-outs or other industrial disputes (whether involving the workforce of Dubai Trade or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order (including Royal demise or decree), rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.
13- GENERAL
12-1 Assignment and other dealings.
(a) Dubai Trade may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under these Terms and Conditions and may subcontract or delegate in any manner any or all of its obligations under these Terms and Conditions to any third party.
(b) You shall not, without the prior written consent of Dubai Trade, assign, transfer, charge, subcontract, declare a trust over or deal in any other manner with all or any of its rights or obligations under these Terms and Conditions.
12-2 Entire Agreement. These Terms and Conditions form the entire understanding of the parties and supersedes all previous agreements, understandings and representations relating to the subject matter.
12-3 Severance and Waiver. If any provision of these Terms and Conditions is found to be unenforceable, this shall not affect the validity of any other provision. Dubai Trade may delay enforcing its rights under the Agreement without losing them.
12-4 No partnership or agency. Nothing in these Terms and Conditions is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, nor constitute either party the agent of another party for any purpose. Neither party shall have authority to act as agent for, or to bind, the other party in any way.
12-5 Governing law. These Terms and Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai.
12-6 Jurisdiction. Each party irrevocably agrees that the courts of Dubai shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or its subject matter or formation (including non-contractual disputes or claims).
